Operendia reserves the right to revise service categories at any time.

2. Service Engagement

All services commence upon written approval, a signed proposal, a purchase order, quotation approval, contract execution, invoice issuance, payment confirmation, or written project authorization.

Project commencement date starts upon receipt of required materials, credentials, approvals, deposits, and technical access.

Project schedules depend upon client response times and approval periods.

Operendia reserves the authority to suspend work until the required information becomes available.

3. Commercial Structure

Commercial proposals remain valid only during stated validity periods.

Project pricing may include:

  • Monthly service retainers
  • Project-based fees
  • Licensing fees
  • Revenue-share structures
  • Success fees
  • Commission agreements
  • Infrastructure fees
  • Hosting and server fees
  • Subscription fees

Taxes, government charges, banking fees, gateway fees, currency fluctuations, and third-party platform costs are not included in project pricing unless otherwise stated.

4. Intellectual Property

Unless otherwise agreed in writing:

Operendia retains ownership rights over:

  • Internal methodologies
  • Strategic frameworks
  • Commercial systems
  • Technical architectures
  • Development structures
  • Source files
  • Backend systems
  • UI systems
  • Automation logic
  • Proposal formats
  • Internal documentation
  • Presentation structures
  • Naming methodologies
  • AI workflows
  • Commercial processes

Clients receive usage rights in accordance with the agreed commercial scope.

Source code transfer requires a separate written agreement.

Transfer payments may apply.

5. Website and Software Ownership

Website publication does not automatically transfer:

  • Source code
  • Repository access
  • Cloud accounts
  • Hosting credentials
  • Build pipelines
  • Server ownership
  • Ticketing systems
  • Infrastructure documentation

Transfer requests require a separate commercial evaluation.

Operendia may retain ownership of the infrastructure unless the contract terms state otherwise.

6. Content and Material Responsibilities

Clients remain responsible for:

  • Text accuracy
  • Legal compliance
  • Trademark ownership
  • Copyright permissions
  • Product information
  • Commercial statements
  • Uploaded files
  • Regulatory approvals

Operendia assumes no responsibility for client-supplied materials.

Clients warrant that they have lawful ownership and use rights.

7. Revision Policy

Revision rights apply according to the approved project scope.

Revision requests outside the agreed scope may require additional quotations.

Major structural changes constitute new work.

Delayed approvals may affect schedules and commercial conditions.

8. Hosting and Technical Operations

Hosting services may include:

  • Server provisioning
  • Maintenance
  • Monitoring
  • Backup procedures
  • Security updates
  • Domain administration

Operendia operates using selected infrastructure providers.

Third-party outages remain outside Operendia's responsibility.

Client-side integrations may require additional setup periods.

9. Performance and Marketing Services

Search, media, campaign, and growth services operate under market conditions.

Operendia provides strategic execution.

Commercial outcomes depend upon factors including:

  • Market demand
  • Product competitiveness
  • Budget allocation
  • User behavior
  • Seasonal fluctuations
  • Platform algorithms

Traffic, conversion, ranking, and revenue projections remain estimates.

10. Confidentiality

Operendia protects confidential business information received during projects.

Confidential information includes:

  • Commercial plans
  • Financial data
  • Technical documents
  • Customer information
  • Operational structures
  • Internal communications

Disclosure occurs only under legal obligation or written authorization.

11. Third-Party Services

Projects may include external providers such as:

  • Hosting providers
  • Payment gateways
  • Analytics systems
  • Cloud providers

  • CMS providers
  • Social platforms

Third-party policy changes may affect service availability.

Operendia assumes no liability for external policy decisions.

12. Maintenance and Support

Support periods remain limited to agreed service windows.

Requests outside the support scope may require separate commercial engagement.

Emergency requests remain subject to availability.

13. Suspension and Termination

Operendia reserves the authority to suspend projects in cases including:

  • Payment delays
  • Regulatory concerns
  • Abuse
  • Unauthorized access
  • Material contract breaches

Termination does not remove outstanding payment obligations.

Completed work remains billable.

14. Limitation of Liability

Operendia's liability remains limited to fees received for related services.

Indirect losses, including:

  • Reputation claims

remain excluded.

15. Governing Law
